Blockpass (BVI) Limited (“Supplier”) provides a seamless, reusable KYC system that helps businesses stay compliant while offering users a frictionless experience. We are looking for strategic partners to introduce our KYC Connect Services to new clients.

- Legal Entity Name & Registered Number
- Registered Office Address

Our Referrer Program is straightforward and rewarding. We value the connections you bring to the Blockpass ecosystem.

II. STANDARD TERMS & CONDITIONS
1. APPOINTMENT & ELIGIBILITY
1.1 Scope: The Referrer is appointed on a non-exclusive basis to introduce new Customers. 1.2 Trigger Event: Commission is earned only when a Customer (a) was previously unknown to the Supplier and (b) makes a successful payment for paid Services. 1.3 Independent Status: This Agreement does not create a partnership, joint venture, or employment relationship.
2. PAYMENT & FORFEITURE
2.1 Process: The Supplier will notify the Referrer of the commission amount due within 14 days of a Trigger Event. The Referrer must then submit an invoice for processing. 2.2 Forfeiture: Commission is forfeited if the Customer cancels within the first two (2) months, defaults on payments, or if a chargeback occurs. 2.3 Fraud: Any fraudulent activity or misrepresentation by the Referrer results in immediate forfeiture of all accrued and future commissions.
3. AUDIT & TRANSPARENCY ("Fair Play")
3.1 Right to Inspect: If a dispute arises regarding commission amounts, the Referrer may, with reasonable notice, request an inspection of the Supplier’s electronic records relevant to the disputed amount. 3.2 Costs: Such examination shall be at the Referrer's expense unless the audit demonstrates an underpayment, in which case the Supplier shall reimburse the reasonable costs of the examination. 3.3 Frequency: This right is limited to one (1) examination per twelve (12) month period.
4. CONFIDENTIALITY & IP
4.1 Confidentiality: Both Parties must protect "Confidential Information" (trade secrets, technology, and business affairs) for five (5) years following termination. 4.2 Intellectual Property: No IP rights are assigned. Each Party grants a limited, non-exclusive license to use their trademarks solely for promoting this cooperation, subject to prior written approval.
5. NON-SOLICITATION
5.1 During the term and for six (6) months thereafter, neither Party shall solicit for employment or interfere with the business relationships of the other Party’s employees, directors, or Restricted Associates (including customers, licensors, and business partners).
6. LIABILITY & INDEMNITY
6.1 Limitation of Liability: Total liability for any claim arising under this Agreement is limited to the total Commission paid to the Referrer. 6.2 Excluded Losses: Neither Party is liable for loss of profits, trading losses, or consequential damages. 6.3 Indemnity: Each Party shall indemnify the other against liabilities arising directly from a material breach of this Agreement.
7. TERMINATION
7.1 Convenience: Either Party may terminate this Agreement with thirty (30) days' written notice. 7.2 Cause: Immediate termination is permitted for gross misconduct, fraud, insolvency, or criminal conviction. 7.3 Survival: Commission for successfully referred clients survives termination for the remainder of the 12-month eligibility period, provided termination was not for Referrer breach.
8. GOVERNING LAW & DISPUTE RESOLUTION
8.1 Law: This Agreement is governed by the laws of England and Wales. 8.2 Mediation: Disputes shall first be submitted to mediation via the Centre for Effective Dispute Resolution (CEDR) in London. 8.3 Arbitration: If unresolved within 14 days of mediation commencement, the dispute shall be finally resolved by the London Court of International Arbitration (LCIA) under its standard Rules.
